1. Introduction

This Affiliate Partnership Program Policy (“Policy”) governs participation in the Affiliate Program (“Program”) offered by Ultimate Career, operating under the brand ProSoftware.in (“Company,” “we,” “our,” or “us”). By applying for or participating in the Program, you (“Affiliate,” “Partner,” or “you”) agree to comply with this Policy, along with our Terms and Conditions, Privacy Policy, and any other applicable agreements referenced herein. If you do not agree with these terms, please refrain from joining or participating in the Program.

2. Purpose of the Program

The Affiliate Partnership Program allows approved affiliates to promote ProSoftware.in’s SaaS products and earn commissions on valid subscriptions or sales generated through their unique referral links. The Program is designed to: - Reward partners who drive genuine customer acquisitions. - Encourage ethical marketing practices. - Build long-term relationships between the Company and its affiliates.

3. Eligibility and Enrollment

1. Application Process: - Interested participants must complete the Affiliate Program registration form available on www.prosoftware.in. - Applications are reviewed and approved at the sole discretion of the Company. 2. Eligibility Requirements: - Must be at least 18 years old. - Must own a valid email address and payment account (bank, Razorpay, or PayPal). - Must operate a legitimate website, social media page, or marketing channel relevant to business, SaaS, or digital tools. 3. Right to Reject Applications: We reserve the right to reject or terminate any affiliate application that: - Promotes illegal, offensive, or misleading content. - Engages in spamming, fake leads, or fraudulent marketing. - Competes directly with or harms the reputation of ProSoftware.in.

4. Affiliate Account and Tracking

1. Each approved affiliate receives a unique referral link or code to track conversions. 2. All referred users must register or subscribe via the affiliate’s unique tracking link for commissions to apply. 3. Tracking is managed through our internal affiliate management system; manual tracking or offline referrals are not eligible for commissions. 4. It is the affiliate’s responsibility to ensure that links are used correctly and remain functional.

5. Commissions and Payments

1. Commission Structure: - Affiliates may earn up to 30% recurring commission (or as otherwise specified by the Company at the time of enrollment) on valid and verified sales or subscriptions. - The exact rate, structure, and eligibility criteria will be communicated at the time of approval. 2. Commission Validity: - Commissions apply only to successful and completed transactions. - Cancelled or refunded subscriptions are not eligible for commission payouts. 3. Payment Schedule: - Commissions are processed and paid monthly, typically within the first 10 business days of the following month. - Payments are made via bank transfer, Razorpay, or other approved methods. 4. Minimum Payout Threshold: - A minimum accumulated balance (e.g., INR 1,000 or equivalent) may be required before a payout is issued. 5. Currency and Taxes: - Payments are made in Indian Rupees (INR) or other currencies as applicable. - Affiliates are responsible for declaring and paying any local taxes or GST on income earned through this Program.

6. Promotional Guidelines and Restrictions

Affiliates must adhere to the following ethical marketing practices: 1. Prohibited Activities: Affiliates may not: - Use false, deceptive, or misleading marketing statements. - Bid on ProSoftware.in’s brand keywords in paid advertising (Google Ads, Meta Ads, etc.). - Send unsolicited email (“spam”) or messages promoting their referral link. - Post or promote affiliate links on coupon sites, adult sites, or unrelated platforms. - Impersonate ProSoftware.in or claim to be part of its internal staff. 2. Brand Usage: - Affiliates may use approved ProSoftware.in logos, banners, and marketing materials provided by the Company. - Modifying or misrepresenting Company branding is strictly prohibited. 3. Disclosure Requirement: - Affiliates must clearly disclose that they earn commissions from referrals, as required by FTC, ASCI, and global advertising guidelines.

7. Term and Termination

1. Term: The Affiliate relationship begins upon approval and continues until terminated by either party. 2. Termination by Affiliate: Affiliates may terminate participation at any time by notifying support@prosoftware.in. 3. Termination by Company: We reserve the right to suspend or terminate an affiliate’s account immediately if they: - Violate this Policy or the Terms of Service. - Engage in unethical, fraudulent, or deceptive marketing. - Attempt to manipulate or exploit the referral system. 4. Post-Termination: - Upon termination, all pending or unpaid commissions may be forfeited if fraud or policy violations are found. - Affiliates must immediately cease using Company trademarks, links, and promotional materials.

8. Relationship Between the Parties

1. The relationship between the Company and the Affiliate is strictly that of independent contractors. 2. Nothing in this Policy shall create any partnership, joint venture, employment, or agency relationship. 3. Affiliates have no authority to make representations, obligations, or warranties on behalf of ProSoftware.in.

9. Limitation of Liability

To the fullest extent permitted by law, Ultimate Career (ProSoftware.in) shall not be liable for: - Any indirect, incidental, or consequential damages; - Lost profits or revenue; - Delays in tracking, reporting, or payment; or - Issues caused by third-party integrations or technical errors. Our total liability to an affiliate under this Program shall not exceed the total commissions paid during the 3 months preceding the claim.

10. Confidentiality

All information shared by the Company (including commission structure, customer data, and internal tools) is confidential. Affiliates agree not to disclose, share, or misuse such information for personal gain or competitive advantage.

11. Policy Updates

We may modify this Affiliate Partnership Program Policy at any time. Updated terms will be published on our website with a revised “Effective Date.” Continued participation after such updates constitutes acceptance of the modified terms.

12. Governing Law and Jurisdiction

This Policy shall be governed by and construed in accordance with the laws of India. Any disputes shall fall under the exclusive jurisdiction of the courts in Telangana, India.
